  1. INTRODUCTION

    1. This Agreement is a legally binding contract between you (“User”) and Avrioc Technologies L.L.C. (“Company”, operating the Omnium AI platform). By accessing or using Omnium or any related services (“Platform/Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, along with our Privacy Policy and any applicable use policies (collectively, the “Agreement”).
    2. If you do not agree, you must not use the Service. You represent that you are of legal age and capacity to agree to this Agreement, and if you are using the Service on behalf of an organization, you have authority to bind that organization to these Terms. Interpretation.

  2. CHANGES TO TERMS

    1. The Company reserves the right to modify or replace these Terms at any time.
    2. We will notify you of material changes by posting the updated Terms on our website (or via the Service interface) and updating the “Last Updated” date. In some cases, we may also notify you via the email associated with your account or by other reasonable means.
    3. Such changes will become effective no earlier than fourteen (14) days after posting, except changes addressing new functions of the Service or changes made for legal reasons may be effective immediately. By continuing to use the Service after the effective date of any revisions, you agree to the updated Terms. If you do not agree to the changes, you must stop using the Service before the new Terms take effect.

  3. DESCRIPTION OF SERVICES

    1. Omnium is an AI-powered conversational and content-generating platform. It uses large language model technology to analyze inputs (“Prompts” or “User Queries”) and produce algorithmically-generated responses (“Outputs”).
    2. You understand that the Service’s capabilities and responses are generated by an artificial intelligence system, not a human, and that Omnium’s features may evolve over time.
    3. The Company may modify, suspend, or discontinue certain features or the availability of the Service at any time, with or without notice, as part of ongoing improvement or due to technical or legal considerations.

  4. ACCOUNT AND USER REGISTRATION

    1. Account Creation: To access certain features, you need a customer account, and credentials assigned to you by your employer, the organization you work for, or provided by the Company. You must provide accurate, current, and complete information during registration.
    2. Account Security: You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. Notify us immediately of any unauthorized use or security breach.
    3. Eligibility: You must be at least 18 years old to use the Platform. If you are under this age, you are not authorized to use this Platform, and any access granted will be revoked immediately.
    4. Your access to the Platform is contingent upon receiving credentials as provided in clause 2(a).
    5. The Company is not liable for any loss or damage arising from your failure to secure your account. You may not share your account or use another user’s account without permission. The Company reserves the right to suspend or terminate accounts that it deems to be in violation of these Terms or engaged in fraudulent or abusive conduct.

  5. ACCEPTABLE USE

    1. Lawful Use: You agree to use the Platform only for lawful purposes. You must not use the Platform in any way that violates any applicable local, national, or international laws or regulations.
    2. Prohibited Activities: You may use the Service only for lawful purposes and in accordance with this Agreement. You agree NOT to:
      1. Violate Laws or Rights: Use Omnium in any way that violates any applicable federal, state, local, or international law or regulation, or to infringe the rights of any person (including intellectual property, privacy, or data protection rights).
      2. Illicit or Harmful Content: Input, request, or distribute via the Service any content that is unlawful, obscene, defamatory, pornographic, harassing, hateful, or otherwise objectionable (including content that promotes racism, bigotry, hatred, physical harm of any kind against any group or individual, or that could violate UAE laws on public morality and hate speech).
      3. Exploitation of Minors: Use the Service in any manner to harm or attempt to harm minors, including exposing them to inappropriate content or attempting any form of grooming or exploitation.
      4. Spam and Malicious Activity: Transmit any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” chain letters, or solicitations through the Service; or use Omnium to generate automated mass messages. Also, do not input malicious code, viruses, worms, or any software intended to disrupt or compromise the Service or third-party systems.
      5. Impersonation and Fraud: Impersonate the Company, an employee, another user, or any person or entity, or misrepresent your affiliation. You may not use Omnium to generate content that impersonates or falsely represents itself as coming from any other person or entity.
      6. Circumvention of Security: Attempt to probe, scan, or test the vulnerability of the Service or any related system, or breach any security or authentication measures. You must not attempt to circumvent any content filters or safety features of Omnium, nor instruct the AI to violate these Terms or produce disallowed content.
      7. Unauthorized Data Mining: Use any robot, scraper, crawler, or automated means to access the Service for extraction of data or outputs, or attempt to reverse engineer or derive the underlying models or source code. Likewise, you may not use Omnium’s outputs to build or train a competing AI model or service without our written permission,
      8. High-Risk Use: Use the Service for any purpose that is inherently high-risk or life-critical (e.g. operating medical, emergency response, or infrastructure systems) or to provide professional advice (legal, medical, financial, etc.) to third parties, as Omnium’s AI outputs are not guaranteed to be accurate (see AI Disclaimers below).
      9. The above list is not exhaustive. If you engage in any of the prohibited uses above or otherwise violate the letter or spirit of these Terms, the Company may suspend or terminate your access and take appropriate legal action. You agree to use the Platform for lawful business purposes only and in compliance with all applicable company policies. Any misuse of the Platform or violation of UAE law, including improper handling of personal or sensitive data, fraudulent activities, or other misconduct, may lead to immediate suspension or termination of access and legal action.

  6. USER CONTENT/INPUT LICENSE

    1. You are solely responsible for all content that you input, upload, or transmit to the Service (collectively, “User Content”). You represent and warrant that you have all necessary rights, licenses, and permissions to provide the User Content to Omnium and to grant the rights below. This includes ensuring that your inputs do not include any material that violates intellectual property rights, trade secrets, or personal data laws without authorization.
    2. License to Company: By submitting any User Content, you grant the Company a worldwide, non-exclusive, royalty-free license to use, reproduce, process, transmit, and display your content solely for the purposes of (a) providing and maintaining the Service; (b) improving and developing our AI models and services; and (c) complying with law or enforcement requests. This license allows us, for example, to feed your prompt into our AI model to generate a response, to temporarily store your input for quality assurance, and to use it to train or refine our algorithms unless you opt out as described below. The Company will not use your inputs for any other purpose outside the scope of these Terms without your consent.
    3. Opt-Out for AI Training (If Applicable): If you do not want your User Content (including prompts and AI-generated outputs) to be used to improve our models or services, you may notify us at developer@omnisphere.ai to opt out of such use. Please note that opting out may limit certain learning-based improvements for your future interactions.
    4. Content Monitoring: You acknowledge that the Company may monitor or review User Content (including your prompts) for compliance with these Terms and to ensure the safety and integrity of the Service. The Company may refuse to process, delete, or restrict any content that violates these Terms or applicable law.
    5. No Sensitive Personal Data: You agree not to input any sensitive personal data (e.g., health information, biometric data, financial account details, personal identifiers of others) into the Service unless absolutely necessary and you have obtained all requisite consents. The Service is not intended to process special categories of personal data, and any provision of personal data is at your own risk. (See also our Privacy Policy for how we handle personal information.)
    6. Retention and Removal: Except as described in our Privacy Policy, we do not guarantee that User Content will be retained after processing. It is your responsibility to keep backup copies of any important data you input into Omnium. We are not responsible for loss or corruption of User Content.

  7. AI OUTPUT AND INTELLECTUAL PROPERTY RIGHTS

    1. AI Output and Ownership of Outputs
      1. The content generated by Omnium in response to your inputs is considered “Output.” As between you and the Company, and to the extent permitted by law, you own the rights to the Outputs produced from your own Prompts. The Company hereby assigns to you any and all rights, title, and interest it may have in such Output.
      2. This means you are free to use, reproduce, publish, or adapt the AI-generated content for any lawful purpose, provided you comply with these Terms.
      3. Non-Exclusivity and Similarity: You understand that Outputs are generated by an algorithm and may not be unique. Other users might receive the same or similar outputs from Omnium by using similar prompts. You do not receive any exclusive rights to any Output, and this assignment of rights to you does not prevent the Company from using similar content generated for other users. The Company cannot guarantee that an Output has not been generated (in identical or similar form) to someone else before.
      4. Company’s Use of Outputs: Even though you own the Output, you agree that the Company may retain and use copies of Outputs as needed to provide the Service, to comply with law, and for internal purposes such as model training or improving the Service (subject to the same opt-out you have for inputs).
      5. For clarity, the Company will not claim ownership of your Output or use your specific Output for commercial purposes (outside of improving the Omnium service) without your permission.
      6. Your Responsibility for Outputs: You are responsible for how you use any Output. You must evaluate each Output’s accuracy, legality, and suitability for your needs before using or relying on it.
      7. If an Output includes material (such as text, images, or code) that may be subject to third-party intellectual property or privacy rights, you agree to use such Output in compliance with all applicable laws (for example, you may need to rely on fair use exceptions, obtain a license from the rights holder, or refrain from using that portion of the Output). The Company does not guarantee that Outputs will be free of content that might require third-party consent or license.
      8. No Misrepresentation of Source: If you publish or share an Output, you must not mislead others about the nature of the content. For example, do not falsely claim that an Output was written by a human or by a specific person other than the AI, and do not remove any watermarks or notices that the platform may include to identify AI-generated content.
    2. Company Intellectual Property
      1. The Omnium Service (including all software, algorithms, models, prompts, system messages, websites, dashboards, and documentation), and all content provided by the Company (except User Content and Outputs as defined above), are owned by Avrioc Technologies L.L.C. or its licensors. This includes all intellectual property rights such as patent rights, copyrights, trade secrets, and trademarks in and to the Omnium platform.
      2. The Company grants you a personal, limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. You obtain no ownership rights in the Service or any portion of its intellectual property.
      3. All rights not expressly granted to you are reserved by the Company.
      4. Restrictions
        1. You shall not (and shall not allow any third party to) copy, modify, distribute, sell, or lease any part of the Service or its underlying software or models.
        2. You may not reverse engineer, decompile, or attempt to extract the source code or model weights of the Omnium AI system, except to the extent such restriction is prohibited by applicable law.
        3. Further, you may not remove or alter any copyright, trademark, or other proprietary notices in the Service.
      5. Any unauthorized use of the Company’s intellectual property is a violation of these Terms and may also violate copyright, trademark, and other laws.
      6. Trademarks: “Omnium,” the Omnium logo, and any other product or service names or slogans of the Company are trademarks of Avrioc Technologies L.L.C. or its affiliates. You are not permitted to use these marks without the Company’s prior written consent.
      7. Third-Party Content and Components: Omnium may enable or rely on integrations with third-party services, software, or content (“Third-Party Services”), such as data plugins, APIs, or content libraries. Any Third-Party Services (and any content or output derived from them) are subject to those third parties’ terms and conditions, not these Terms. Avrioc does not control and is not responsible for any Third-Party Services or for content provided by third parties (“Third-Party Content”), including its accuracy, legality, or quality. Your use of Third-Party Services or incorporation of Third-Party Content is at your own risk, and you must comply with any applicable third-party terms. Avrioc disclaims all liability arising from your use of or reliance on any Third-Party Services or Content. If any Third-Party Service ceases to be available or if its terms require us to do so, we may discontinue or disable the integration at any time without any liability to you.
      8. If the AI Output provided to you includes excerpts from third-party sources (e.g., quotations or references), those excerpts may be protected by third-party IP rights and are provided for your convenience/fair use only.
      9. Feedback: If you choose to provide feedback, suggestions, or ideas regarding Omnium (“Feedback”), you agree that the Company is free to use or incorporate such Feedback in its products and services without any obligation to you. Any Feedback you provide is entirely voluntary and will not create any confidentiality or compensation obligation. The Company owns all improvements or modifications to the Service based on Feedback.

  8. DISCLAIMERS

    1. Use at Your Own Risk: Omnium is an AI-based service that generates content automatically. The Service (and all Outputs) are provided on an “as is” and “as available” basis. The Company and its affiliates, licensors, and suppliers expressly disclaim all warranties and representations of any kind, whether express, implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
    2. AI Output Uncertainty: The Company does not guarantee the truth, reliability, or completeness of any Output. You acknowledge that Outputs may not always be accurate or factual, and may even be misleading or incorrect, even if an Output appears confident or detailed. Omnium’s responses are generated by algorithms without human oversight on each result. You should not rely on any Output as a sole source of truth or advice for important decisions. Any use of or reliance on Outputs is at your sole risk.
    3. Hallucinations: You acknowledge that due to the nature of AI, Omnium may generate content that appears factual but is actually incorrect or entirely fabricated (sometimes known as an AI “hallucination”). Avrioc is not responsible for any such false or fictional statements produced by the AI. You must independently verify the truthfulness of any output before relying on it. If you choose to share or publish output from Omnium, you are solely responsible for any consequences, including any required disclaimers or qualifications that the content is AI-generated or unverified. You agree that no claim shall lie against Avrioc for any damages or losses arising from your use of mistaken or hallucinated output.
    4. No Professional Advice: Unless explicitly labeled otherwise, no Output or information obtained from Omnium should be considered professional, medical, legal, financial, or expert advice. Omnium is not a substitute for professional judgment. If you have specific concerns, you should consult a qualified professional. For example, do not use Outputs for making health or legal decisions without verification.
    5. The Company makes no warranty that the AI’s suggestions are suitable for your situation or compliant with any professional standards.
    6. Potentially Offensive or Biased Content: By using an AI system, you may be exposed to content that is biased, incorrect, or offensive. While we implement filters and safety measures, the Service may occasionally produce content that is inappropriate or that you disagree with. The Company does not endorse or take responsibility for any opinions or statements expressed in Outputs.
    7. Any references to persons, entities, or products in an Output are coincidental; an Output mentioning third-party names or content does not imply the endorsement by or affiliation of such third parties with the Company.
    8. No Guarantee of Results or Availability: The Company does not warrant that the Service will meet your requirements or achieve any intended results. We do not guarantee that the Service will be uninterrupted, secure, or error-free. We do not warrant that any information (including any Output) obtained through the Service is accurate, reliable, or correct. You assume all risk for any harm or damage that may result from your use of the Service or any Output.
    9. No Editorial Control. You acknowledge that Omnium generates content autonomously and that Avrioc does not pre-screen or guarantee the content. While we may employ filters or moderation tools to reduce harmful outputs, we do not warrant that the Service will recognize or block all problematic content. Avrioc is not responsible for errors or omissions in any output. You are solely responsible for evaluating and handling the content results.
    10. No High-Risk Use. You will not use Omnium in any situation where its failure or misuse could lead to death, personal injury, or severe property or environmental damage. For example, you may not use the Service for controlling or supporting the operation of medical or life-support systems, autonomous vehicles, aircraft or air traffic control, nuclear facilities, or any other inherently dangerous application. Avrioc expressly disclaims any liability for use of the Service in any high-risk context, and any such use is strictly at your own risk.
    11. Jurisdictional Exceptions: Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not fully apply to you. In such cases, the Company’s warranties shall be limited to the maximum extent permitted by applicable law. (For instance, under UAE law, your statutory consumer rights (if applicable) are not excluded; this disclaimer does not affect any liability that cannot be disclaimed under UAE law.)

  9. LIMITATION OF LIABILITY.

    1. To the maximum extent permitted by law, in no event shall Avrioc Technologies L.L.C. (or its directors, officers, employees, agents, suppliers, or affiliates) be liable for any indirect, incidental, special, consequential, or punitive damages whatsoever arising out of or relating to your use of or inability to use the Service or any Outputs, even if we have been advised of the possibility of such damages. This limitation covers, without limitation, damages for lost profits or revenues, lost data, lost business opportunities or goodwill, service interruption, computer damage, or system failure, or any other intangible losses. It also applies to any harm allegedly caused by any content obtained through the Service (including Outputs), or the conduct of other users or third parties on the Service.
    2. Cap on Liability: To the extent that liability cannot be wholly disclaimed, the total cumulative liability of the Company and its affiliates for any claims arising from or related to the Service or these Terms shall not exceed the amount you paid to the Company for the use of the Service in the twelve (12) months immediately preceding the claim.
    3. If you have paid nothing (for example, using a free version), the Company’s total liability for all claims shall not exceed USD $100 (or equivalent in local currency).
    4. Jurisdictional Note: We do not exclude or limit our liability to you where it is illegal to do so. For example, this clause does not limit liability for the Company’s willful misconduct, gross negligence, or fraud, or for death or personal injury caused by the Company’s proven negligence, to the extent that such liability cannot be excluded under applicable law. However, to the extent the law allows, we exclude all such other liability.
    5. Allocation of Risk: You acknowledge that the fees (if any) charged for the Service (if any) reflect this allocation of risk and the limitation of liability specified herein, and that the Service would not be provided to you without such limitations.

  10. INDEMNIFICATION

    1. If you are using the Service on behalf of a business, organization, or for commercial purposes, you agree to indemnify, defend, and hold harmless Avrioc Technologies L.L.C., its affiliates, licensors, and their respective officers, directors, employees, and agents (the “Indemnified Parties”) from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:
      1. your violation of these Terms or of any applicable law or regulation;
      2. your User Content (including any allegation that content you provided or asked the AI to generate infringes or misuses any intellectual property, confidentiality, or privacy rights of a third party); or
      3. your use of the Service or Outputs, including any actions you take based on the information obtained from Omnium, or any content you generate, publish, or share via Omnium.
    2. Responsibility for Authorized Users. If you authorize employees, contractors, or other third parties to access the Service under your account or through your integration with our Service, you are responsible for their actions and compliance with these Terms. Any breach of the Terms by any such end user will be deemed a breach by you. You must ensure that all authorized users are aware of and abide by the Terms, and you will promptly notify Avrioc of any known violation or misuse and shall indemnify Avrioc as per terms of this clause.
    3. If you are an individual consumer using the Service for personal, non-commercial purposes, the above indemnity may not apply to you to the extent not permitted by law. In that case, you agree that you are still responsible for any harm or loss caused to the Company by your wrongful use of the Service or violation of these Terms, to the fullest extent allowed by applicable law.
    4. The Company reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you (in which case you will cooperate with the Company in asserting any available defenses). You agree not to settle any such matter without the Company’s prior written consent.
    5. Avrioc does not provide any insurance or protection to you for your use of the Service. You are responsible for obtaining and maintaining any insurance policies that are appropriate for your use-case and risk profile (for example, insurance against liability for content you publish using the Service).

  11. PRIVACY & DATA PROTECTION

    1. Your privacy is important to us. Our collection, use, and disclosure of personal data in connection with the Service are described in our Privacy Policy, which is incorporated into these Terms by reference. By using Omnium, you acknowledge that you have read the Privacy Policy. The Company is committed to complying with applicable data protection laws, including the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (“PDPL”) and other relevant international regulations.
    2. Avrioc Technologies L.L.C. is based in the UAE, and any personal information you provide may be processed in accordance with UAE law. In some cases, we may process or store data on servers located in other countries (for example, if we use cloud service providers). By using the Service, you consent to the transfer and processing of your personal data outside of your country of residence, including in jurisdictions that may not have the same level of data protection as your home country, for the purposes outlined in the Privacy Policy.
    3. We will take appropriate measures to protect your personal data during such transfers, in line with PDPL requirements and other applicable laws. We implement technical and organizational measures to secure your data and Outputs. However, you understand that no method of transmission over the Internet or electronic storage is completely secure, and we cannot guarantee absolute security of your data (as also disclaimed above).
    4. You should not input personal information that is not necessary. In particular, please refrain from submitting highly sensitive personal data about yourself or others into prompts, as the Service is not specifically designed to process such data.
    5. You have certain rights regarding your personal data. These may include the right to access, correct, or delete your data, and to object or restrict certain processing, as described in our Privacy Policy. To exercise your privacy rights or if you have privacy-related inquiries, please follow the procedures in the Privacy Policy. If you are located in a jurisdiction with data protection regulations (for example, the European Economic Area, which is subject to the GDPR, or the United Kingdom, or jurisdictions with data export controls), you acknowledge that your use of Omnium must also comply with those laws. You agree not to input personal data that you are not legally permitted to transfer or process using an AI service. The Company reserves the right to anonymize or delete personal data that you input if required by law or our policies.

  12. COMPLIANCE WITH LAWS AND EXPORT CONTROLS

    1. You agree to use Omnium in compliance with all applicable laws and regulations. This includes, without limitation, laws and regulations related to export control and economic sanctions. The software and technology underlying the Service may be subject to export laws of the United States, the United Arab Emirates, and other jurisdictions. You represent and warrant that:
      1. you are not located in, under the control of, or a national or resident of any country or region that is subject to a comprehensive trade embargo (including, for example, Iran, North Korea, Syria, or the Crimea, Donetsk, and Luhansk regions of Ukraine, as may be updated by applicable authorities);
      2. you are not on any prohibited or restricted parties list (such as the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Commerce Department’s Entity List, or any similar EU or UAE list); and
      3. you will not use the Service for any purposes prohibited by applicable export and sanctions laws (for example, you will not use the Service to develop or distribute any nuclear, biological, or chemical weapons, missile technology, or other military end-uses in violation of law).
    2. You further agree that you will not export, re-export, transfer, or release any part of the Service or any technical information related thereto to any jurisdiction or party to which such export or transfer is restricted by law, without obtaining all necessary governmental authorizations. You shall be solely responsible for complying with export laws regarding any data or content that you input into Omnium, and any resulting Output, to the extent any export control restrictions apply.
    3. The obligations under this section shall survive any termination of your use of the Service or these Terms. If you access the Service from outside the UAE, you do so on your own initiative and are responsible for compliance with local laws in your jurisdiction. We make no representation that the Service is appropriate or available for use in any particular location.

  13. GOVERNING LAW AND DISPUTE RESOLUTION

    1. These Terms and any dispute or claim arising out of or in connection with them or the Service shall be governed by the laws of the Emirate of Abu Dhabi, United Arab Emirates, without regard to its conflict of laws principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of the Emirate of Abu Dhabi.
    2. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement. We do not intend for these Terms to conflict with any local laws that apply to you as a consumer; to the extent they do, your statutory rights are unaffected.
    3. Complaints or Questions: If you have any dispute or concern, we encourage you to first contact us at legal@avrioc.com to seek an amicable resolution. We will attempt in good faith to address your issue promptly.

  14. LAW ENFORCEMENT REQUESTS

    1. You acknowledge that Avrioc may preserve and disclose your information or content if required to do so by law or in a good-faith belief that such preservation or disclosure is reasonably necessary to comply with legal process, law enforcement requests, or government orders (for example, disclosure under UAE cybercrime investigations). Subject to such lawful requests, Avrioc will adhere to its Privacy Policy regarding disclosure of user data.

  15. ENTERPRISE ACCOUNT CONTROL

    1. If you register or access the Service using an email address belonging to your employer or an organization, or if your account is otherwise associated with an organization, you acknowledge that the organization may assume control of the account. Avrioc may require your account to be linked to an enterprise account for that organization. Once under enterprise management, the organization’s authorized administrator(s) will have the right to access your account, monitor usage and content, and suspend or terminate your access. Avrioc may notify you of such account migration, unless the organization has already done so.

  16. MISCELLANEOUS

    1. Entire Agreement: These Terms (together with the Privacy Policy and any additional guidelines or policies referenced herein) constitute the entire agreement between you and Avrioc Technologies L.L.C. regarding your use of Omnium, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
    2. Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect. The parties agree that any invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable, and if it cannot be so modified, it will be excised from these Terms without affecting the rest of the Terms.
    3. No Waiver: The failure of the Company to exercise or enforce any right or provision of these Terms shall not operate as a waiver of that right or provision. Any waiver of any provision must be in writing and signed by an authorized representative of the Company.
    4. Assignment: You may not assign or transfer these Terms (or any of your rights or obligations hereunder) without the Company’s prior written consent. The Company may assign, transfer, or delegate any of its rights and obligations under these Terms without consent, including to a subsidiary or affiliate, or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. These Terms are binding upon and will inure to the benefit of the parties and their permitted successors and assigns.
    5. Relationship: Nothing in these Terms shall be construed as creating any agency, partnership, joint venture, or employment relationship between you and the Company. You and the Company are independent contractors with respect to the Service.
    6. Force Majeure: The Company shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, pandemic, labor strikes, infrastructure failures, or Internet outages not caused by the Company.
    7. Notices: Except as otherwise set forth herein, any notices or other communications to the Company under this Agreement must be sent via email at legal@avrioc.com The Company may give notices to you via email to the address associated with your account or through the Service interface.
    8. Language: These Terms are drafted in the English language. If these Terms are translated into another language, the English text shall prevail in the event of any inconsistency.
    9. Headings: Section titles and headings in these Terms are for convenience only and have no legal or contractual effect.
    10. Survival: Any provisions of these Terms which by their nature should survive termination (including, but not limited to, disclaimers of warranty, limitations of liability, indemnities, and governing law) shall survive any termination or expiration of this Agreement.
